Terms of Service
These terms form the contract between Tendex and the business that uses it. If your organisation has signed a separate written agreement with us, that agreement takes priority where the two differ.
1. Who we are and who these terms cover
Tendex is provided by Tendex Ltd, a company registered in England and Wales (“Tendex”, “we”, “us”). These terms apply to the organisation that creates or joins a Tendex workspace (“Customer”, “you”) and to each person the Customer allows to use it (“Users”).
By creating an account, starting a subscription or using Tendex, you confirm that you accept these terms on behalf of the Customer and that you have authority to do so.
2. Business use only
Tendex is a business-to-business service for organisations that pursue public-sector contracts. You must use it for business purposes and not as a consumer. Users must be at least 18. Consumer protection rights that apply only to consumers therefore do not apply to these terms.
3. Accounts and security
- Keep sign-in details confidential, use your own account, and enable multi-factor authentication where your organisation requires it.
- Workspace owners and admins control who is invited, their roles and their access. The Customer is responsible for what its Users do in Tendex.
- Tell us promptly at security@tendex.ai if you suspect unauthorised access to your account.
4. Plans, subscriptions and automatic renewal
Tendex offers a free plan and paid plans. Plan features, limits and prices are shown on the pricing page and at checkout. Paid plans are subscriptions billed monthly or annually in advance. Each subscription renews automatically for another period of the same length at the then-current price unless it is cancelled before the renewal date.
We may change prices for future periods. We will give at least 30 days’ notice by email before a price increase applies to your subscription, and you can cancel before it takes effect.
5. Billing, payment and VAT
- Payments are processed by Stripe. By subscribing you authorise us and Stripe to charge your payment method at the start of each billing period.
- Prices are shown exclusive of VAT and other applicable taxes, which are added where required and shown on your invoice.
- If a payment fails, we will retry it and let you know. If it is not resolved within 14 days, we may move the workspace to the free plan or suspend paid features until payment is made.
- Invoices and receipts are available from the billing portal in Settings.
6. Plan changes, cancellation and refunds
- Upgrades take effect immediately. Any pro-rata charge or credit is calculated by our payment processor and shown before you confirm. Downgrades take effect from the next billing period.
- You can cancel at any time from the billing portal in Settings. Cancellation stops the next renewal; paid features stay available until the end of the period you have already paid for, after which the workspace moves to the free plan.
- Fees already paid are non-refundable, including for partly used periods, except where these terms say otherwise or the law requires a refund. If we end your subscription for convenience under section 16, we will refund prepaid fees for the unused part of the period.
7. Acceptable use
You must not, and must not allow anyone else to:
- bypass or probe security, rate limits, usage limits, or access controls, or access another customer’s data;
- scrape, bulk-download, resell or redistribute Tendex data or outputs outside the API and export features included in your plan;
- use Tendex to build a competing product, or reverse engineer it except where the law allows;
- upload unlawful or malicious content, or personal or confidential data you are not entitled to share;
- use Tendex to send spam, to harass anyone, or to break procurement, competition, anti-bribery or data protection law;
- share accounts or API keys between people or organisations.
8. Your data and confidentiality
“Customer Data” means the content you and your Users put into Tendex, such as company profiles, saved searches, pipeline records, comments, bid documents and answers. You own Customer Data. You give us a licence to host, copy, process and display it only as needed to provide, secure and support Tendex for you, and as described in our Privacy Policy and Data Processing Addendum.
We treat Customer Data as your confidential information. We do not sell it, share it with other customers, or use it to train AI models. Each party will keep the other’s non-public business information confidential and use it only for this agreement, except where disclosure is required by law.
You can export your data while your account is active. After an account or workspace is closed we delete Customer Data within the periods set out in the Privacy Policy.
9. Our intellectual property and your licence
We own Tendex, including its software, design, rankings, signals and compiled datasets. While your subscription is active we give the Customer a non-exclusive, non-transferable right for its Users to use Tendex for the Customer’s internal business purposes, within the limits of its plan.
Outputs generated for you, such as summaries, draft answers and exports, may be used, edited and submitted by you in your own bids and business, including after your subscription ends. You are responsible for how you use them. Feedback you give us may be used to improve Tendex without obligation.
10. AI-generated output
Tendex uses AI models to produce summaries, match explanations, search criteria, draft bid content and reviews. AI output can be incomplete, out of date or wrong, and it may read convincingly when it is. It is labelled in the product as AI-generated.
- AI output is decision support, not legal, procurement, financial or other professional advice.
- You must review and verify AI output, including every commitment, figure, claim and reference, before relying on it or submitting it to a buyer. You are responsible for anything you submit.
- We do not guarantee any particular result, including that a bid will be compliant, shortlisted or successful.
11. Public procurement data
Tender, award and buyer information in Tendex comes from UK public procurement notices, including Find a Tender and Contracts Finder, and devolved and sector portals, and from European notices published on TED (Tenders Electronic Daily). UK public sector information is used under the Open Government Licence v3.0. TED information is © European Union and reused under CC BY 4.0 from ted.europa.eu. Each source's own terms also apply. We normalise and enrich this data but do not control it: notices can be late, amended, withdrawn or incorrect at source. Always check deadlines, requirements and documents against the original notice before you act.
12. Availability, support and changes to Tendex
We aim to keep Tendex available and to fix problems promptly, and we publish current status on the status page. Unless we have agreed a service level in writing, we do not guarantee uninterrupted or error-free service. We may carry out maintenance and change or remove features; we will give reasonable notice of changes that materially reduce what a paid plan includes. Support is available by email at support@tendex.ai.
13. Warranties
Each party confirms it has the authority to enter into these terms. We will provide Tendex with reasonable skill and care. Apart from that, and to the extent the law allows, Tendex, its data and its outputs are provided “as is”, and all other warranties, conditions and terms implied by statute or common law are excluded, including as to satisfactory quality, fitness for a particular purpose and accuracy.
14. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
- Neither party is liable for loss of profits, revenue, contracts, business or goodwill, for any lost bid or tender opportunity, or for any indirect or consequential loss.
- Subject to the points above, each party’s total liability arising out of or in connection with these terms in any 12-month period is limited to the fees the Customer paid to us for Tendex in the 12 months before the event giving rise to the claim (or £100 if that is greater). This cap does not apply to the Customer’s obligation to pay fees or to the indemnity in section 15.
15. Indemnity
The Customer will indemnify us against third-party claims, and the reasonable costs of defending them, that arise from Customer Data or from the Customer’s or its Users’ breach of section 7 (Acceptable use). We will tell you promptly about any such claim and let you control its defence.
16. Suspension and termination
- You can stop using Tendex and close your account at any time. Paid subscriptions end as described in section 6.
- We may suspend access immediately where it is reasonably necessary to protect Tendex, other customers or the public, for example after a security incident, non-payment or a serious breach of section 7. We will tell you why and restore access once the issue is resolved.
- Either party may end the agreement by written notice if the other materially breaches it and does not fix the breach within 30 days, or becomes insolvent.
- We may end the agreement for convenience with 60 days’ notice, in which case we refund prepaid fees for the unused period.
- Sections 8, 9, 10, 13, 14, 15, 18 and 19 continue after the agreement ends.
17. Changes to these terms
We may update these terms. We will give at least 30 days’ notice by email or in the product of changes that materially affect paid customers. The updated terms apply from the next renewal after the notice period, or earlier if you accept them. If you do not agree, you can cancel before they apply to you. The date at the top shows when these terms last changed.
18. General
Neither party is liable for delay caused by events outside its reasonable control. You may not assign these terms without our consent; we may assign them to a successor of our business. These terms, together with any order form and the Data Processing Addendum, are the entire agreement between us about Tendex. If any part is found unenforceable, the rest continues. Only the parties have rights under these terms.
19. Governing law
These terms and any dispute or claim arising from them, including non-contractual disputes, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
